Limited company contractors - Companies House form changes from 1st October 2009

Posted Sep 24, 2009

Many of the forms limited company contractors have previously used to interact with Companies House will change format on 1st October 2009 following the final implementation of the Companies Act 2006.

Although your contractor accountant is likely to deal with most Companies House paperwork, as a limited company director, you are ultimately responsible to ensure that any administrative tasks are completely accurately and in a timely manner.

Companies Act Form Changes

Some of the forms which will affect contractor limited companies include:

Company Formation - currently Forms 10 and 12 are used when a company is first created, however from 1st October 2009, you must use Form IN01 (although, your formation agent or accountant is likely to submit this on your behalf).

Director & Secretary forms - the familiar forms 288a, 288b and 288c will be replaced with a variety of new forms.

Annual Return - the traditional form 363a which contains a snapshot of your company each year will be replaced with form AR01

Registered Address Change - the old form 287 will be replaced with form AD01

Change of Accounting Reference Date - the old form 225 will be replaced with form AA01

There are also significant changes to the way Memorandum and Articles of Association are treated under the new rules.

To consult a complete list of form changes, take a look at the table on the Companies House site here.

We will update references to older forms on Contract Eye following the implementation date on 1st October.
